Confidentiality Agreement

The person referred to as „Test Person“
hereinafter referred to as Test Person,

commits to the

coreway UG,
represented by Hanna Schuler, Selina Hörig, and Philipp Emonds,

Bischoff-Keppler Straße 9
73525 Schwäbisch Gmünd, Germany

hereinafter referred to as coreway UG,

to confidentiality in accordance with the following conditions.

Preamble

coreway UG has developed a health app (hereinafter referred to as coreway).

The Test Person is participating in a test phase during which they are granted access to the coreway app and related information, particularly of a technical and/or scientific nature. These pieces of information, regardless of their form (analog/digital), are considered confidential within the meaning of the German Trade Secrets Act (Geschäftsgeheimnisgesetz). All information provided to the Test Person is a trade secret of coreway UG.

Confidentiality Obligation

The Test Person agrees to keep all information provided during the test phase strictly confidential. In particular, the Test Person agrees to:

• Use the confidential information exclusively for the purpose of using the app within the test phase.
• Not disclose or make available to third parties any information regarding the health parameters collected in and through the app, even partially.
• Not use any received information for the purpose of independent development, further development, or the filing of intellectual property rights.
• Upon request by coreway UG, return or destroy all data or documents containing confidential information, as well as any copies thereof. This does not apply to routinely created backup copies of electronic data traffic.

In the event of a culpable breach of this confidentiality obligation, coreway UG reserves the right to assert any claims for damages as well as additional claims, particularly for injunctive relief, disclosure, and the surrender of any benefits gained.

This confidentiality obligation remains in effect for three years after the completion of the test phase, unless the confidential information becomes publicly known within this period without violating this agreement.

The applicable law is that of the Federal Republic of Germany. Should any provision of this agreement be or become invalid, the validity of the remaining provisions shall remain unaffected.

Consent to this confidentiality agreement is given by clicking the checkbox in the app. This is a mandatory requirement for successful registration in the coreway app.
